Welcome to Skillsmith. These Terms of Service ("Terms") govern your access to and use of Skillsmith, an MCP server for Claude Code skill discovery, installation, and management, operated by Smith Horn Group Ltd. ("we", "us", or "our").

By accessing or using Skillsmith, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

1. Acceptance of Terms

By creating an account, accessing, or using Skillsmith, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using Skillsmith on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

We may modify these Terms at any time. Material changes will be communicated via email or through the service. Your continued use after changes constitutes acceptance of the modified Terms.

2. Service Description

Skillsmith provides:

  • Skill Discovery: Search and browse Claude Code skills from various sources
  • Skill Installation: Install skills directly to your Claude Code environment
  • Skill Management: Track, update, and remove installed skills
  • Recommendations: Personalized skill suggestions based on your usage
  • API Access: Programmatic access to skill discovery and management
  • MCP Integration: Native integration with Claude Code via Model Context Protocol

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

3. User Accounts

Account Creation

Some features of Skillsmith require an account. When creating an account, you must:

  • Provide accurate and complete information
  • Be at least 13 years old (or 16 in the EEA)
  • Not create accounts for others without permission
  • Not use automated methods to create accounts

Account Security

You are responsible for:

  • Maintaining the confidentiality of your credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Keeping your API keys secure and rotating them if compromised

Account Termination

You may delete your account at any time through your account settings. We may suspend or terminate accounts that violate these Terms or for other legitimate business reasons.

4. Usage Limits and Quotas

Skillsmith offers tiered plans with different usage limits. Current API call limits are:

What counts as an API call: Each skill search, skill detail request, recommendation request, or installation counts as one API call.

Exceeding limits: When you reach your monthly limit, API requests will be rate-limited until the next billing cycle. You will receive notifications at 80%, 90%, and 100% of your quota.

Fair use: Inactive accounts (no API calls for 90+ days) may be paused. You will receive email notice before any action is taken.

5. Acceptable Use Policy

You agree not to:

Prohibited Activities

  • Use the service for any illegal purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service or servers
  • Scrape, crawl, or spider the service without permission
  • Circumvent rate limits or usage quotas
  • Share account credentials or API keys
  • Use the service to distribute malware or malicious code
  • Impersonate others or misrepresent your affiliation

Automated Access

Automated access is permitted only through our official API with valid authentication. Automated scraping of the website is prohibited. Rate limits apply to all automated access.

Violation of this policy may result in immediate suspension or termination of your account without refund.

6. Intellectual Property

Skillsmith Platform

The Skillsmith platform, including its code, design, documentation, and branding, is licensed under the Elastic License 2.0. This means:

  • Permitted: Self-hosting for internal use, modification for your own use
  • Prohibited: Offering Skillsmith as a managed service to third parties
  • Prohibited: Circumventing license key functionality

Third-Party Skills

Skills indexed and distributed through Skillsmith are owned by their respective authors and are subject to their own licenses. We do not claim ownership of third-party skills.

Trademarks

"Skillsmith", the Skillsmith logo, and related marks are trademarks of Smith Horn Group Ltd. You may not use our trademarks without prior written permission.

7. User Content and Skills

Your Content

You retain ownership of any content you submit to Skillsmith, including skills you publish. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with the service.

Skill Submissions

If you submit skills to Skillsmith, you represent that:

  • You own or have the right to submit the skill
  • The skill does not infringe any third-party rights
  • The skill does not contain malicious code
  • The skill complies with our content guidelines

Content Removal

We reserve the right to remove any content that violates these Terms or is otherwise objectionable. We will make reasonable efforts to notify you before removing your content, except in cases of legal requirement or clear policy violation.

8. Payment Terms

Billing

  • Paid plans are billed monthly or annually in advance
  • Prices are in USD unless otherwise specified
  • You authorize us to charge your payment method on file
  • Failed payments may result in service suspension

Plan Changes

  • Upgrades: Take effect immediately; you pay the prorated difference
  • Downgrades: Take effect at the next billing cycle
  • Cancellation: Access continues until the end of the billing period

Refunds

We offer refunds in the following circumstances:

  • Within 14 days of initial purchase (no questions asked)
  • Service unavailability exceeding our SLA (Enterprise plans)
  • Billing errors on our part

Price Changes

We may change our prices with 30 days notice. Price changes take effect at the next billing cycle. You may cancel before the new prices take effect.

9. Termination

Termination by You

You may stop using Skillsmith at any time. To delete your account, visit your account settings or contact support. Upon deletion:

  • Your account data will be deleted within 30 days
  • Backup copies may persist for up to 90 days
  • Skills you published may remain available (with attribution removed upon request)
  • No refunds for partial billing periods (except as stated in Payment Terms)

Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account has been inactive for 2+ years
  • Required by law or legal process
  • We discontinue the service (with 90 days notice)

Effect of Termination

Upon termination, your right to use the service ceases immediately. Sections of these Terms that by their nature should survive (such as intellectual property, limitation of liability, and indemnification) will continue to apply.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

  • Merchantability or fitness for a particular purpose
  • Non-infringement of third-party rights
  • Uninterrupted or error-free operation
  • Accuracy, reliability, or completeness of skill information
  • Security of your data (though we implement reasonable safeguards)

Third-party skills: We do not guarantee the quality, safety, or legality of skills indexed from third-party sources. You use third-party skills at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of profits, data, use, or other intangible losses
  • Our total liability is limited to the amount you paid us in the 12 months preceding the claim
  • For free accounts, our liability is limited to $100 USD

These limitations apply regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Smith Horn Group Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit or publish through the service

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last updated" date at the top of this page
  • For material changes, we will notify you via email or in-app notification
  • Changes take effect 30 days after posting (or immediately for legal requirements)
  • Your continued use after changes constitutes acceptance
  • If you disagree with changes, you may terminate your account

14. Governing Law

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles.

Dispute Resolution: Any disputes arising from these Terms will be resolved through binding arbitration in Vancouver, British Columbia, except that either party may seek injunctive relief in court for intellectual property violations.

Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions.
